What is required

to appoint a foreigner as director?

  • Education, qualifications and experience
    According to paragraph 3 of Article 35 of the Law on Migration of the Population of the Republic of Kazakhstan: foreign workers attracted by employers are required to have the education, qualifications and experience necessary to perform the upcoming work.

  • Work permit
    Before concluding an employment relationship, it is necessary to obtain a work permit, except in cases stipulated by the legislation of the Republic of Kazakhstan.

  • Quota
    To appoint a foreign citizen as a director of a company in Kazakhstan, it is necessary to apply for a quota for attracting foreign labor. The quota is allocated annually by the Government of the Republic of Kazakhstan.

  • C3 visa or TRP
    The stay of a foreign director is regulated by a C3 work visa or a temporary residence permit (TRP).

Please note that not all managers are required to obtain work permits.
According to the list of persons approved by the Decree of the Government of the Republic of Kazakhstan dated November 24, 2023 No. 1041, directors of companies with 100% foreign capital and heads of branches/representative offices of foreign legal entities are exempt from obtaining work permits.

Procedure of appointment

Decision on appointment
The appointment of the head of the LLP is within the exclusive competence of the general meeting of participants or the sole participant of the LLP. The minutes of the general meeting or the decision of the sole participant of the LLP are drawn up, respectively.

If the general meeting or the decision by the sole non-resident participant was carried out outside of Kazakhstan, the document must be apostilled/legalized in the established manner for recognition in Kazakhstan.
Execution of an employment contract with a limited liability company
The next step is to draw up an Employment Agreement with the LLP, issue an Order on hiring and an Order on termination of employment with the previous director.
Individual Identification Number (IIN)
At the same time, a foreigner obtains an IIN to register as a taxpayer, open a bank card, etc.

Notification

Towards the completion of the documentary formalities it is necessary to notify:

  • JSC "State Corporation "Government for Citizens"
    to make changes to the state database offline or through the eGov portal.
  • Bank
    for the transfer of updated documents, samples of the first manager’s seal, and other documents upon request.
